These Terms of Sale govern purchases of vhdl2sv licenses, support, updates, and related services from Abdallah Cheikh ("Seller").
If a separate signed agreement, quote, purchase order acceptance, or enterprise order form applies, that specific agreement controls to the extent of any conflict.

2. Scope
These Terms apply to:
- software license purchases
- maintenance and update entitlements
- support services
- renewals and upgrades
Use of the Software itself is also governed by the EULA.
3. Orders and contract formation
An order becomes binding only when accepted by Seller. Acceptance may occur by:
- a written quote acceptance
- issuance of an invoice
- activation or delivery of a license
- written confirmation by Seller
- successful completion of an approved self-serve checkout
Seller may refuse or cancel an order before acceptance.
4. Prices, taxes, and payment
Prices are those stated in the applicable quote, checkout, or invoice.
Unless expressly stated otherwise:
- prices shown to consumers may be displayed inclusive of VAT where required
- prices shown to business customers may be displayed exclusive of VAT
- Customer remains responsible for any applicable sales tax, VAT, withholding tax, customs duties, and similar charges unless the checkout or invoice expressly states that such taxes are included
- Customer is responsible for applicable taxes except taxes based on Seller's net income
- payment is due in advance
Seller may use a reseller, payment processor, or merchant-of-record provider to process payments and taxes.
5. Delivery
Delivery is digital unless otherwise agreed. Delivery may consist of any combination of:
- download access
- installer or bundle delivery
- license file issuance
- activation details
- access credentials
Delivery is deemed complete when Seller or its authorized provider makes the Software or license available to Customer.
6. License type and scope
The purchased license scope is defined by the applicable commercial record, including:
- license type
- whether the license is perpetual or time-limited
- number of seats or concurrent users
- node-locked or floating entitlement
- edition and enabled features
- maintenance/support term
- any usage limitations
No resale, sublicensing, redistribution, or public rehosting rights are granted unless expressly stated in writing.
7. Maintenance, updates, and support
If maintenance or support is included, Seller will provide it only for the term described in the applicable quote, order, checkout terms, or support policy.
Maintenance or support may include:
- software updates
- bug-fix releases
- security-fix releases
- installation help
- limited technical support
Unless expressly stated otherwise in the applicable commercial record:
- licenses are perpetual
- bug-fix and security-fix updates for the supported purchased release line are included
- any major-version upgrade entitlement must be expressly stated in the quote, checkout, invoice, or order confirmation
Unless expressly agreed, Seller is not obligated to provide:
- custom development
- guaranteed turnaround times
- on-site support
- compatibility with every third-party environment or toolchain
8. Renewals, major upgrades, and no-trial policy
If Customer purchases perpetual licenses with time-limited updates/support, continued use of the already delivered version remains permitted after the included period ends, subject to the EULA.
Future updates, upgrades, and support after that period may require a separate renewal or upgrade purchase.
Seller is not obligated to offer trial or evaluation access and may sell the Software without a free trial.
9. Consumer-specific digital-content rules
This section applies only if Seller offers the Software to consumers.
If Customer is an EEA consumer purchasing digital content not supplied on a tangible medium, Customer may have a statutory withdrawal right unless that right is validly lost after:
- Customer expressly requests immediate performance or delivery, and
- Customer acknowledges that the withdrawal right is lost once delivery begins, where applicable under law
Seller should not enable immediate consumer download/license delivery without a checkout flow that properly records any legally required acknowledgements.
If Seller does not offer the Software to consumers, this section does not create a right to purchase as a consumer.
10. Refunds
Except where mandatory law requires otherwise or Seller expressly offers a refund policy:
- completed business-to-business software purchases are non-refundable
- issued licenses may not be canceled once delivered
If Seller provides examples, demonstrations, documentation, or pre-sale communications, those materials are informative only and do not create a guarantee of fitness for a particular project.
11. Suspension and termination
Seller may suspend delivery, activation, updates, or support if:
- payment is overdue
- Customer breaches the EULA or these Terms
- fraud, abuse, sanctions, or export-control concerns are reasonably suspected
Termination of a support or maintenance term does not by itself revoke a fully paid perpetual license unless separately permitted under the EULA or applicable law.
12. Warranties and disclaimers
Any warranty is limited to what is expressly stated in a written agreement. Otherwise, the Software is provided subject to the disclaimer set out in the EULA.
13. Limitation of liability
Seller's liability under these Terms is subject to the limitation-of-liability section of the EULA, unless a separate signed agreement provides otherwise.
14. Governing law and disputes
These Terms are governed by the laws of Italy, excluding conflict-of-laws rules.
For business customers, disputes will be submitted to the courts of Rome, unless mandatory law requires otherwise.
If Customer is a consumer, mandatory consumer-rights provisions and jurisdiction rules remain unaffected.
